About 11:45am, emergency services were called to the Hawkesbury River, near Portland Head Road, following reports a boat had crashed.
It is believed the boat was towing two water skiers and participating in trials for the Bridge to Bridge Race when it lost control and flipped.
The driver and his observer were thrown into the water where they were picked up by a rescue boat and taken to shore.
The Westpac Rescue Helicopter and NSW Ambulance Paramedics attended the scene and attempted to revive the man, who was the observer, but he died at the scene.
A man driving the boat was treated at the scene by paramedics and airlifted to Westmead Hospital in a serious but stable condition.
Meanwhile, two males who were being towed on skis behind the boat managed to swim to shore.
They were not injured during the incident. Investigations into the crash are continuing.
